Rebuilding a Regulated Marketplace Without Stopping It

Vicinity Ventures runs an online marketplace where anyone can invest in local businesses: retail investors through regulated crowdfunding, accredited investors and the VentureSouth angel network through private placements. Every dollar passes identity checks, escrow, bank transfers and e-signatures, all under US securities rules.
Jazzy Innovations was brought in to modernize the platform: replace a system that was slow to change, add a members’ portal for VentureSouth, and do it without pausing a single live offering.

The original platform was tied to a single back-end vendor: investor data, payments and offerings lived in its system, and every new offering type meant working around it. Investors had no single place to follow their portfolio, documents and updates; fund managers did much of the work by hand.
The first milestone came with a hard date: a public launch at the VentureSouth Summit, three months out. We made it, and presented the platform with the client in Greenville, SC.
Crowdfunding rules cap how much a non-accredited investor can put in over a year, based on income and net worth. The platform calculates each investor’s limit and enforces it on every investment.
Every investment is checked before any money moves:
Subscription agreements are signed electronically, and sensitive data such as tax IDs and bank accounts is stored encrypted.
Investors pay by bank debit, wire or check. The money does not go to the company straight away: it sits in an escrow account at a bank until the offering closes. If the offering reaches its goal, funds are released to the issuer; if it fails, every investor is refunded. Each issuer can have its own escrow account.
Real money leaves no room for double clicks. A repeated click or a retried payment can never debit an investor twice, and a payment over the bank’s limit is stopped before the investment is placed.
In the latest major release the platform stopped depending on one vendor. Identity checks, bank payments and offering registration can now each use a different provider, so adding a new bank or payment provider is a small integration, not a rewrite, and different offerings can use different banks at the same time.

We replaced the old platform in stages, through two major releases, while offerings stayed live. Data moved in-house first, then the vendor ties came off. Investors and the angel network now use one login across the marketplace and the members’ portal; existing users moved over without resetting their passwords. Test environments get a copy of production with personal data masked, so changes are checked on realistic data before investors see them.
VentureSouth members get their own portal:

An assistant in the portal answers investors’ questions in plain language. It searches their documents and the platform guide, cites its sources so every answer can be checked, and reads the investor’s live portfolio, limited to the holdings that investor is allowed to see. “What’s my current portfolio value?” gets an exact answer; “Where are my K-1 forms?” gets a direct link. Guardrails keep it on the right side of securities rules: asked what to invest in next, it declines to give investment advice and offers the facts instead, such as the open rounds and their terms.

The results speak for themselves:
A unified UI gave investors a clean, professional space to manage and monitor their investments — increasing platform trust and reducing onboarding friction.
The platform runs in production with regular releases, has grown from crowdfunding to private placements, and moves millions of dollars a year. New banks and payment providers plug in without touching the investment flow.
